Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Exodus Health Couriers LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms constitute a legally binding agreement between you and the Company.

2. Services Description

Exodus Health Couriers provides medical specimen courier services, including but not limited to STAT delivery, scheduled clinic routes, lab-to-lab transfers, pharmacy courier services, clinical trial logistics, and after-hours coverage. All services are subject to availability and our operational capabilities.

3. Client Responsibilities

Clients agree to:

  • Provide accurate pickup and delivery information
  • Properly package specimens according to DOT and IATA regulations
  • Clearly label all specimens with appropriate biohazard markings
  • Provide necessary documentation (chain of custody forms, requisitions)
  • Ensure authorized personnel are available for pickup and delivery
  • Notify us immediately of any cancellations or changes
  • Pay all fees according to agreed-upon payment terms

4. Accurate Information

When you request a quote, book a service, apply for a position, or otherwise submit information to us, you agree to provide information that is true, current, and complete — including your name, contact details, addresses, and service region. Submitting false or misleading information, or submitting another person's or organization's information without authority to do so, is a material breach of these Terms.

5. Verification of Information

We may verify any information you provide — including identity, address, eligibility, and business credentials — before or after accepting a request. Where information cannot be verified, we may decline or cancel the related service. In most cases, a quick correction or confirmation on your part resolves the matter.

6. Acceptable Use

When using our website and services, you agree not to:

  • Submit fraudulent quote requests or bookings
  • Impersonate any person or organization, or misrepresent your affiliation with one
  • Use bots, scrapers, or other automated tools to submit forms in bulk or extract content
  • Use our services or forms to harass any person
  • Attempt to bypass security measures or rate limits
  • Submit Protected Health Information (PHI) through public website forms — PHI must only be exchanged through secure, authorized channels

7. Service Area and Eligibility

Our courier services are offered within our published Ohio service area, centered on Dayton, Kettering, and the greater Miami Valley region. Employment applications are limited to Ohio residents aged 22 or older, consistent with our insurance and operating requirements. Requests or applications outside these bounds may be declined automatically.

8. Consequences of Misuse

Where these Terms are violated, we may reject submissions, suspend or terminate service, and, where appropriate, report unlawful activity to the relevant authorities. We are not obligated to act on submissions that fail verification.

9. Automated Screening of Submissions

To keep response times fast and protect the facilities we serve, submissions made through our website pass through automated checks, including format validation, plausibility checks, rate limiting, and bot detection. These checks occasionally decline a legitimate submission — if that happens to you, nothing is lost. Call us at (855) 703-4436 and we will handle your request over the phone.

10. Pricing and Payment

Pricing is based on service type, distance, urgency, and other factors as outlined in your service agreement. Payment terms are net 30 days unless otherwise agreed. Late payments may incur interest charges at a rate of 1.5% per month (18% annually). We reserve the right to suspend services for accounts with past-due balances exceeding 60 days and to engage collection agencies for delinquent accounts. Client shall be responsible for all collection costs and reasonable attorney fees.

11. Service Levels and Response Times

While we strive to meet all service level commitments, response times are estimates and not guarantees. Factors beyond our control (weather, traffic, facility delays) may impact delivery times. STAT services target 20-minute dispatch, but actual delivery times vary based on distance and conditions.

12. Limitation of Liability

LIABILITY CAP: Our total liability for any claim arising from our services shall not exceed the lesser of:

  • The actual value of the specimen (replacement/testing cost)
  • The delivery fee paid for that specific shipment
  • The total fees paid by you in the twelve (12) months preceding the claim

EXCLUDED DAMAGES: IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR SPECIMEN DEGRADATION NOT DIRECTLY CAUSED BY OUR GROSS NEGLIGENCE.

We are not liable for delays or losses caused by improper packaging, inaccurate information, facility unavailability, or events beyond our reasonable control. Clients agree to indemnify and hold us harmless from claims arising from improperly packaged specimens or inaccurate information provided by the client.

13. Company Assets and Fleet Protection

All Company vehicles, equipment, technology, coolers, and materials used in service delivery remain the exclusive property of Exodus Health Couriers LLC.

  • Workers are financially responsible for damage, loss, or theft of Company property due to negligence or misuse
  • Unauthorized personal use of Company vehicles or equipment is prohibited
  • All Company property must be returned upon termination of services or employment
  • GPS tracking and vehicle monitoring are standard for fleet management and security

14. Insurance Coverage

We maintain appropriate commercial auto insurance, general liability insurance, professional liability coverage, and workers' compensation coverage. Certificates of insurance are available upon request for credentialing purposes.

15. Cancellation and Refund Policy

Cancellations made before driver dispatch receive full refunds. Cancellations after dispatch but before pickup incur a 50% fee. No refunds after pickup. Scheduled route cancellations require 48-hour notice to avoid billing for that scheduled run.

16. HIPAA and Compliance

We maintain Business Associate Agreements (BAAs) with covered entities as required by HIPAA. Our drivers receive HIPAA & OSHA training. We follow chain of custody protocols and maintain documentation standards that support compliance audits.

17. Confidentiality

All patient information, specimen details, and facility operations observed during service delivery are considered confidential. Our staff is trained to maintain strict confidentiality and will not disclose information except as required by law or authorized by the client.

18. Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to immediately terminate services for non-payment, violation of terms, or conduct that threatens the safety of our staff or the integrity of specimens.

19. Warranty Disclaimer

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

20. Force Majeure

We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, severe weather, pandemics, epidemics, civil unrest, government actions, road closures, strikes, accidents, traffic conditions, or failure of third-party services. We will make reasonable efforts to notify affected parties and resume services as soon as practicable.

21. Arbitration and Dispute Resolution

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before initiating formal dispute resolution, you agree to first contact us in writing and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved through binding arbitration rather than in court, except where prohibited by applicable law.

  • Arbitration shall be conducted in Montgomery County, Ohio
  • The American Arbitration Association Commercial Arbitration Rules shall apply
  • The arbitrator's decision shall be final and binding
  • Judgment on the arbitration award may be entered in any court of competent jurisdiction

Class Action Waiver: YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION AGAINST THE COMPANY. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Jury Trial Waiver: YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS.

No Lawsuits: By accepting these Terms, you waive the right to file lawsuits against the Company in court. Arbitration is your sole and exclusive remedy for any dispute.

22. Intellectual Property and System Ownership

All technology, software, trademarks, content, and materials on our platform are owned by or licensed to Exodus Health Couriers LLC. You agree not to:

  • Copy, modify, or distribute our proprietary materials
  • Reverse engineer, decompile, or disassemble our software
  • Use our systems for any unauthorized purpose
  • Attempt to gain unauthorized access to our systems
  • Remove or alter any copyright or proprietary notices

23. User Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring all authorized users comply with these Terms

We reserve the right to suspend or terminate accounts for security concerns or policy violations.

24. Third-Party Services Disclaimer

Our platform may integrate with third-party services (payment processors, mapping services, etc.). We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is governed by their respective terms and policies. Links to external websites are provided for convenience and do not constitute endorsement.

25. Indemnification

You agree to indemnify, defend, and hold harmless Exodus Health Couriers LLC, its owners, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • Improperly packaged or labeled specimens
  • Inaccurate information you provide
  • Your negligent or wrongful conduct

26. Worker Conduct and Agreements

All workers (drivers, dispatchers, secretaries) are bound by the Worker Agreement in addition to these Terms. Workers agree to resolve all disputes through binding arbitration, maintain confidentiality, and refrain from filing lawsuits against the Company. See our Worker Agreement for complete terms.

27. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website and updating the "Last updated" date. For material changes, we will provide reasonable notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

28. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflicts of law principles. Subject to the arbitration provision above, any legal proceedings shall be brought exclusively in the state or federal courts located in Montgomery County, Ohio.

29. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

30. Entire Agreement

These Terms, together with our Privacy Policy, Worker Agreement (if applicable), and Client Service Agreement (if applicable), constitute the entire agreement between you and the Company regarding your use of our services.
